MADHURIMA FAMILY MUSIC CLUB - Rules & Bye-law 1. NAME : The club shall be known as Madhurima Family Club
2. ADDRESS : The club shall be located in the city of Trivandrum and the address shall be “Ammu”, C.S. Nagar, Edapazhanji, Cotton Hill P.O., Trivandrum -695 010.
3. The club will function within the District of Trivandrum.
4. OBJECTS: a) Promote appreciation of music among the members b) Develop the music talents of its members c) Form a musical performance group of utmost competence from amongst its members d) Pursue such other art, literary objects as the members may decide from time to time.
5. MEMBERSHIP:
5.1. Membership will be for a family and either of the spouses shall be entitled to represent the family on all matters coming up before the general body. Further either of the spouses shall be entitled to be an office bearer. Where there is a dispute between the spouses on which spouse should represent that family in the general meeting then the decision of the President shall be final. Explanation: Family means husband and wife and minor children. 5.2 Members shall be admitted to the club on the sponsorship of any member and shall be admitted if the majority in the executive committee in a meeting approve the admission. 5.3. Executive Committee means the governing body elected from out of the members as detailed in clause 7. 5.4. The members and office bearers of the club as on the date of registration under the Travancore – Cochin Literary Scientific Charitable Societies Act (hereinafter called “Act”) shall continue to be members of the club with the same status as on the date of the registration. 5.5. The club shall maintain a register of members which shall be open for verification by all the members.
6. CESSATION OF MEMBERSHIP: 6.1. Any member can resign from the club but his liability to pay his dues upto the date of his registration shall continue till it is cleared or waived by the Executive Committee.
6.2. A member can be expelled from the club by a decision of the executive committee taken by a majority of the members present at a meeting if he conducts himself in a manner repugnant to the objects of the club or without decency and decorum so as to lower the status and image of the club before the public and the members. 6.3. The Executive Committee shall before taking a decision to expel a member give an opportunity to the member to show-cause as to why he should not be expelled. 6.4. A member will automatically cease to be a member if he fails to pay subscription if any, fixed by the Executive Committee for 3 months unless the Executive Committee condones this failure.
7. MANAGEMENT: 7.1. The management of the club shall vest on the Executive Committee elected by the general body every year and shall consist of 7 members. The members shall elect from among them the following office bearers within 3 days of their election by the general body: President Vice-President Secretary Jt. Secretary Treasurer And such other office bearers as may be decided by the general body from time to time. 7.2. Within 15 days of the election of the committee members the same shall be intimated to the District Registrar, by the newly elected Secretary of the Club. 7.3. The President shall have powers to co-opt additional members not exceeding 4 to the Executive Committee.
8. MEETING OF THE EXECUTIVE COMMITTEE: 8.1. The Executive Committee shall meet once in a month to decide on the programmes check the accounts, bills and vouchers payments and consider proposals for new members and to take decisions on matters relating to the management of the club in general. The decisions shall be by a majority of votes cast at the meeting. 8.2. The quorum for the Executive Committee meeting shall be three subject to the condition that either the President or the Secretary or the Jt. Secretary should be present. 8.3. Every meeting shall be presided over by the President and in his absence by the Vice-President and in the absence of both by any of the members present elected by the meeting.
9. GENERAL BODY MEETING: 9.1. There shall be held every year a meeting of all the members of the club called the general body, the first of which shall be held within 18 months of the registration and thereafter before 30th September, of each year to discuss all aspects of the club including adoption of the minutes of the last general body, passing of annual accounts, appointment of auditors, election of Executive Committee members, amendment of bylaws, if any. The meeting shall be held with notice of 14 days. 9.2. The Executive Committee may also call a special General Body meeting at any time to discuss and decide on any aspects of the club. 9.3. 10% of the total members of the club can in writing addressed to the President demand that a general meeting be convened and the President shall convene a general meeting within 21 days of the date of receipt of the requisition. 9.4. The quorum for the general meeting shall be 1/3 of the members or 5 members, whichever is lower. 9.5. The decisions in the general body meeting shall be taken by a simply majority of those present except in the case of amendment to the by-laws which shall be passed by 2/3 of the members present. 9.6. Where any amendment to the bye-laws is carried out a copy of the amendment duly certified by the President, Secretary and one member of the Executive Committee not holding any office shall be filed with the Registrar within 14 days of the meeting. 9.7. Notice convening the meeting shall be in writing and shall be sent 10 days before the meeting unless 90% of the members agree to waive the notice period.
10. POWERS OF THE OFFICE BEARERS: a) President : The President shall exercise an over-all supervision of all the aspects of the club and will Chair the meetings of the Executive Committee and the general body. He shall have the powers to take disciplinary action against the members with the approval of the Executive Committee. b) Vice-President: The Vice President shall assist the President in his functions and shall discharge the duties of the President in his absence. c) Secretary: The Secretary shall be the officer of the club responsible for, i. Maintenance of records connected with the management of the Club, including the register of members. ii. Convening the meetings of the Executive Committee and General Body and recording of the proceedings of the Executive Committee as well as General Body Meetings. He shall be responsible for filing suits on behalf of the club and defending suits against the club. d)Joint Secretary: He shall assist the Secretary in discharging his functions and duties and in his absence, discharge his duties. e) Treasurer: The treasurer shall be in charge of the funds of the club and maintain records relating to the same. He shall pay before each meeting of the Executive Committee a record of receipts and payments. It shall be his duty to collect the admission fee and other dues from the members and make payments authorized by the Executive Committee. He shall issue receipts for the moneys received. He shall also prepare and present the annual accounts of the club before the annual general body after approval of the same by the Executive Committee.
11. BANK ACCOUNTS: It shall be in the name of the Secretary and shall be opened in such bank(s) approved by the Executive Committee. The accounts shall be jointly operated by the treasurer and any one of the following i.e. President Secretary
12. RECORDS TO BE MAINTAINED BY THE CLUB:
1. File relating to Memorandum of Association and by-laws and registration certificate, 2. Admission Register, 3. Receipt book, 4. Income and expenditure records 5. Passbooks and cheque books 6. Income and expenditure statement/balance sheets 7. Such other registers as may be prescribed by law or stipulated by the Executive Committee.
13. ANNUAL ACCOUNTS AND BALANCE SHEET:
1. The treasurer shall cause to be prepared and submitted to the executive committee and after the executive committee’s approval to the General Body, a Balance Sheet and Income and Expenditure account the first of the which shall relate to the period beginning from the date of registration of the society and ending on the next coming 31st March and thereafter beginning from 1st April to 31st March the accounts shall be placed before the first General Body meeting held after the closing of accounts, on 31st March. 2. The first accounts shall be audited by an auditor appointed by the executive committee and in the case of subsequent accounts by the auditors appointed by the General Body. 3. The accounts approved by the Executive Committee and presented to the general body shall be signed by the President, Treasurer and by the Secretary.
14. INCOME AND PROPERTIES OF THE CLUB:
a) The income of the club shall be accounted for and shall be utilized for the objects of the club. b) All the properties of the club shall be held in the name of the club.
15. DISSOLUTION OF THE CLUB:
The club may be dissolved by a resolution passed by not less than three fourths of the total members in which case after meeting all liabilities, the balance of assets shall be transferred to society having similar objects, failing which it shall vest in the Government. x……x……x |
